/drs/Check your brokerage settings tonight: Why "Fully Paid Securities Lending" (Share Loaning) is a terrible deal for retail investors

Almost every zero-commission retail brokerage app has been aggressively nudging users with pop-ups to enable "Stock Lending" / "Fully Paid Securities Lending" by promising "passive income" on your idle shares.

Before you leave that toggle turned ON, read the fine print in the Master Securities Loan Agreement (MSLA):

1. You Help Short Sellers Borrow Against Your Own Investment:
- When your shares are loaned out, they are delivered to borrowers (often market makers or hedge funds) who can use them to cover short sales or satisfy delivery obligations (FTDs), creating downward sell pressure on the exact stock you own.
2. You Lose Your Shareholder Voting Rights:
- While your shares are on loan over a proxy record date, you cannot vote those shares at the annual shareholder meeting—the borrower gets the voting rights.
3. Your Dividends Turn Into "Payments-in-Lieu" (Higher Tax Rate!):
- Instead of receiving Qualified Dividends (taxed at favorable 0% / 15% / 20% long-term capital gains rates in the US), loaned shares receive cash *"Payments in Lieu of Dividends" (PIL)*, which are taxed at your highest ordinary income tax bracket (up to 37%).
4. SIPC Insurance Does Not Cover Loaned Shares:
- Under the Securities Investor Protection Act, loaned shares are no longer covered by standard $500,000 SIPC protection if the broker fails; your only recourse is the cash collateral pool.

Bottom line: Disable Share Lending in your account settings immediately—or better yet, hold long-term core positions in Pure DRS (Book-Entry) at the transfer agent where your shares can *never* be lent out.

The Payment-in-Lieu (PIL) tax trap catches so many retail investors on their 1099-DIV every April! They think they made $40 in stock lending interest, and then realize they lost qualified dividend status on $3,000 of dividends, costing them hundreds of dollars in extra IRS taxes.

And look at the fee split: the broker often keeps 50% to 85% of the borrow fee while the retail investor takes 100% of the counterparty, voting, and tax downside. In DRS Book at Computershare, you own the legal title directly on the company's ledger.

Double-check your account settings after every app update too—several brokers have been known to re-prompt users with a giant green 'Turn On' button on login.
